The Gauteng Tourism Authority seeks to appoint a highly competent Manager: Governance, Compliance and Legal Services to manage and coordinate governance frameworks, compliance management, legal advisory services and contract administration across the organisation. The role supports the Company Secretary, strengthens corporate governance, ensures regulatory compliance, and provides legal guidance to the Board, Executive Management and business units.

KEY PERFOMANCE AREAS

The successful candidate will be responsible for the following performance areas.

1. Corporate Governance and Governance Framework Management:

  • Support the development, review and implementation of GTA governance frameworks, policies and procedures including Board Charters, Delegations of Authority and Committee Terms of Reference.
  • Monitor governance compliance across the organisation and report deviations to the Company Secretary.
  • Ensure quality assurance of Board and Committee submissions, resolutions and governance documentation.
  • Track and coordinate the implementation of Board and Committee resolutions across the organisation.
  • Facilitate governance awareness sessions and training initiatives.
  • Conduct governance maturity assessments and recommend improvements aligned with corporate governance best practices.

 

2. Compliance Management and Regulatory Alignment:

  • Develop and implement organisational compliance frameworks aligned with PFMA, Treasury Regulations and other applicable legislation.
  • Conduct compliance monitoring and reviews across business units.
  • Prepare compliance reports for Executive Management, Board Committees and relevant regulatory authorities.
  • Monitor legislative developments and advise management on regulatory implications.
  • Coordinate compliance awareness programmes and support internal investigations where required.

 

3. Legal Advisory Services and Litigation Support:

  • Provide legal opinions and advisory services to Executive Management, the Board and business units.
  • Draft, review and negotiate legal documents including agreements, MOUs and contracts.
  • Manage litigation matters in collaboration with external legal counsel.
  • Conduct legal research and monitor developments in legislation and case law.
  • Assess legal risks and recommend mitigation strategies to support organisational decision-making.

4. Contract Administration and Legal Document Management:

  • Oversee drafting, vetting and negotiation of supplier contracts, service-level agreements and partnership agreements.
  • Maintain and manage a centralised contract management system.
  • Monitor contract deliverables, compliance and renewal timelines.
  • Conduct legal risk assessments on contractual commitments.
  • Ensure all contract templates remain legally compliant and aligned with organisational policies.

 

5. Board and Committee Governance Support:

  • Assist the Company Secretary in preparing Board and Committee packs, agenda and governance documentation.
  • Support minute-taking, document circulation and governance administration processes.
  • Track implementation of Board resolutions and prepare status reports.
  • Ensure secure storage and management of governance documentation.
  • Support Board induction programmes and governance evaluation processes.

 

MINIMUM REQUIREMENTS

The Manager Governance, Compliance and Legal Services position calls for a highly skilled individual who has a minimum qualification of a Bachelor’s Degree in Law (LLB) and/or any other related qualification. A postgraduate qualification in Corporate Governance, Compliance or Commercial Law will be an added advantage.

In terms of experience, the requirements are, a minimum five (5) years’ experience in governance, legal advisory or compliance management. Experience within the public sector environment and PFMA compliance is essential.
